These Terms of Service ("Terms") govern your access to and use of the website evlomd.com, and the memberships, services, and communications provided by EVLO Wellness Ventures LLC ("EVLO," "EVLOmd," "we," "us," or "our"). By accessing our website, submitting a form, making a reservation, or purchasing a membership, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

01Eligibility

Our website and services are intended only for individuals who are 18 years of age or older. By using our website or services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

02About EVLO and Our Services

EVLO operates a digital wellness membership and coordination platform. EVLO provides membership administration, consultation coordination, scheduling, education, customer support, and wellness program management.

EVLO is not a medical practice, clinic, or pharmacy, and does not itself diagnose, treat, or prescribe. Any clinical evaluations, medical decisions, prescriptions, laboratory orders, and treatments are provided solely by independent, licensed healthcare providers who exercise their own independent professional judgment. Whether any program or service is appropriate for you is determined solely by a licensed provider following a consultation. Nothing on our website is a guarantee that you will qualify for, or be offered, any particular program or service.

03What Your Fees Cover

Fees paid to EVLO are for membership, consultation coordination, and administrative and platform services only.

Fees paid to EVLO do not include, and are separate from, the cost of any medications, products, laboratory services, or clinical services that may be recommended or prescribed by a licensed provider. Any such items are billed separately by the applicable provider, pharmacy, or laboratory, under their own terms and pricing. EVLO is not the seller or dispenser of any medication or medical product.

• EVLO does not diagnose, treat, cure, or prevent any disease. Any clinical care is provided solely by independent, licensed healthcare providers.

• Individual results vary. Any testimonials or examples reflect individual experiences and are not a guarantee of specific outcomes.

05Reservations

• Submitting a reservation form expresses your interest in a future membership and may lock in the applicable founders' rate. A reservation is not a binding purchase.
• Your payment method is not charged at the time of reservation. It will only be charged once your selected location opens and your membership is activated, and only after the recurring charge is disclosed to you.
• Membership rates, tiers, inclusions, and availability are as described at the time of your reservation and may change for future members.

06Memberships, Recurring Billing & Cancellation

• Memberships are offered on a recurring subscription basis. When your membership is activated, you authorize EVLO and its payment processor to charge your payment method the applicable membership fee automatically each billing period (for example, monthly) until you cancel.
• The amount, billing frequency, and start date of your recurring charge are disclosed to you before your membership is activated. By activating, you consent to these recurring charges.
• You may cancel at any time by emailing [email protected] or through your member account. Cancellation takes effect at the end of your current billing period, and you will not be charged for subsequent periods.
• Founders' rates are locked for the life of a continuously active membership at the reserved tier. Memberships are personal and non-transferable unless we agree otherwise in writing.

07Pricing & Refunds

• Prices for memberships and services are stated in U.S. dollars and may be updated from time to time for future purchases.
• Because a membership provides ongoing access to services and support, membership fees for a billing period that has already begun are non-refundable, except where required by applicable law.
• Appointments cancelled with less than 24 hours' notice, or missed appointments, may be subject to a cancellation fee that is disclosed in advance.
• If you believe you have been charged in error, contact us at [email protected] and we will review your request promptly.

08Billing Questions & Disputes

We want every charge to be clear and correct. If you have any question or concern about a charge, please contact us at [email protected] or (305) 982-7591 before disputing the charge with your bank or card issuer. We are committed to resolving billing issues quickly and fairly, and the large majority of concerns can be handled directly and faster than a formal dispute.

09SMS / Text Messaging Terms

By providing your phone number and opting in, you consent to receive text messages from EVLO Wellness Ventures LLC, which may include appointment confirmations, account notifications, and, where separately consented, promotional messages. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out at any time, or HELP for assistance. 10Independent Providers

Clinical services referenced on our website are provided by independent, licensed healthcare providers who are solely responsible for their own professional services and decisions. EVLO does not control, and is not responsible for, the professional judgment, acts, or omissions of any independent provider. Your relationship for clinical care is with the treating provider.

11Acceptable Use

You agree not to:

• Use our website or services for any unlawful purpose;
• Provide false, misleading, or fraudulent information, including health information;
• Attempt to gain unauthorized access to our systems or interfere with the operation of our website;
• Copy, scrape, or reproduce our content, branding, or materials without our written permission;
• Resell, transfer, or share membership benefits without our written consent.

12Intellectual Property

All content on our website — including text, graphics, logos, images, videos, program materials, and the EVLO and EVLOmd names and marks — is the property of EVLO Wellness Ventures LLC or its licensors and is protected by intellectual property laws. You may not use our content or marks without our prior written permission.

13Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure.

14Limitation of Liability

To the fullest extent permitted by law, EVLO Wellness Ventures LLC and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of our website or services. In no event will our total liability exceed the amounts you paid to EVLO in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless EVLO Wellness Ventures LLC and its owners, officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of our website or services.

16Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved informally by contacting us. If unresolved, disputes shall be brought in the state or federal courts located in Wyoming, and you consent to the jurisdiction of those courts, except where applicable law requires otherwise.
